Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AIGears website, dashboard, REST API, MCP server, and related services (together, the "Service") operated by AIGears ("we", "us", or "our"). By creating an account, generating an API key, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

1. The Service

AIGears provides stateful infrastructure primitives for AI agents and the developers who build them. The Service currently includes four tools, accessible via REST API and a hosted MCP server:

  • Scheduled callbacks — registering future or recurring webhook calls that we fire on your behalf.
  • Deadline memory — durable, queryable storage of dated obligations with escalation notifications.
  • Approval gates — pausing an agent action pending human sign-off, delivered to an approver by email and a hosted approval page.
  • Watch-and-notify — polling an external URL, RSS feed, or JSON endpoint and notifying you on change.

We also provide a web dashboard for inspecting activity, managing API keys, and viewing audit logs and billing. The Service is intended for developers and the members of their team; it is not a consumer product.

2. Accounts, teams, and API keys

You must register an account to use the Service. Data and configuration are organised around a "Team", which is the unit of access and billing. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them. API keys are credentials, not identities — anyone holding a valid key can act on your Team's behalf. You must keep keys secret, rotate them if compromised, and revoke keys you no longer use. 3. Acceptable use

You agree not to use the Service to:

  • Violate any law or regulation, or infringe the rights of others.
  • Configure webhooks, watches, or callbacks that target internal, private, or loopback network addresses, or that are designed to probe or attack infrastructure you do not own or have permission to test.
  • Poll, scrape, or watch any external source in a manner that violates that source's terms of service, robots.txt, rate limits, or applicable law. You are responsible for ensuring you have the right to monitor any source you configure.
  • Send, store, or transmit unlawful, infringing, deceptive, or malicious content, including content used for phishing or to impersonate others through approval requests or notifications.
  • Attempt to circumvent plan limits, rate limits, poll-interval floors, or other technical or usage restrictions.
  • Interfere with, disrupt, or place an undue burden on the Service or the networks connected to it.

We poll external sources you configure on your instruction and respect robots.txt and Cache-Control for URL sources. You remain solely responsible for the legality and appropriateness of the sources you watch and the webhook destinations you register.

4. Webhooks and notifications

When you register a callback, deadline, approval, or watch, you instruct us to deliver HTTP requests to the webhook URLs and email addresses you provide. You represent that you control those destinations or are authorised to send to them, and that any approver email addresses you supply belong to people who expect to receive approval requests from you. We sign webhook payloads (HMAC) so you can verify their origin; verifying signatures is your responsibility. We are not responsible for the content of payloads you define or for the downstream consequences of actions your agents take in response to our deliveries.

5. Plans, usage limits, and billing

The Service is offered under a free tier and paid plans (Starter, Pro, and Enterprise) with differing usage limits, poll-interval floors, and audit-log retention windows, as described on our pricing page. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorise recurring charges to your payment method until you cancel. Fees are non-refundable except where required by law. We may apply soft-grace allowances on certain paid usage caps and enforce hard caps on free-tier usage; we may suspend or throttle Service that exceeds your plan's limits. We may change pricing or plan features on reasonable notice; changes take effect at your next billing cycle.

6. Cancellation and termination

You may cancel your subscription or close your account at any time through the dashboard or by contacting us. Cancellation stops future renewals; it does not retroactively refund the current period. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. On termination, pending callbacks, deadlines, approvals, and watches may be cancelled and associated data deleted in accordance with our Privacy Policy and retention schedule.

7. Service availability and changes

We aim to keep the Service available and reliable but, except where a separate service-level agreement applies to your plan, the Service is provided without uptime guarantees. We may modify, suspend, or discontinue features at any time. Scheduled deliveries and polling are best-effort: we retry failed webhook deliveries with exponential backoff, but we do not guarantee that any callback, reminder, approval, or change notification will be delivered at an exact time or at all.

8. Your content and data

You retain all rights to the data you submit to the Service, including payloads, metadata, summaries, and configuration ("Your Content"). You grant us a limited licence to host, process, transmit, and display Your Content solely as necessary to operate and provide the Service. You are responsible for the legality of Your Content and for having the rights to submit it. Our handling of personal data is described in our Privacy Policy.

9. Intellectual property

The Service, including its software, APIs, schemas, documentation, and branding, is owned by AIGears and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with them. You may not copy, resell, reverse-engineer, or create derivative works of the Service except as permitted by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any scheduled action, reminder, approval, or notification will occur as intended. You are responsible for designing your agent systems to handle missed, delayed, or duplicated deliveries.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIGears AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES RESULTING FROM ACTIONS TAKEN OR NOT TAKEN BY YOUR AGENTS IN RELIANCE ON THE SERVICE, INCLUDING MISSED DEADLINES, UNAUTHORISED OR ERRONEOUSLY APPROVED ACTIONS, OR UNDETECTED CHANGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AIGears from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, the sources you watch, the destinations you target, or your breach of these Terms.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located there, except where mandatory consumer-protection law provides otherwise.
